PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING TITLE BUMP, YOU AGREE TO BE BOUND BY THESE TERMS.
THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, A REPRESENTATIVE-ACTION WAIVER, AND A JURY-TRIAL WAIVER. PLEASE READ SECTION 18 CAREFULLY. SECTION 18 ALSO CONTAINS A 30-DAY OPT-OUT RIGHT.
THESE TERMS LIMIT OUR LIABILITY (SECTION 16) AND RELEASE US FROM CERTAIN CLAIMS (SECTION 17). YOU ACKNOWLEDGE THAT THE LIMITATIONS AND DISCLAIMERS HERE ARE A MATERIAL PART OF THE BARGAIN.

1. Agreement to Terms
These Terms of Service (the "Terms") form a legally binding agreement between you ("User," "you," or "your") and Title Bump ("Title Bump," "Company," "we," "us," or "our"). These Terms govern your access to and use of:
- the website at titlebump.com and any subdomains;
- the Title Bump web application;
- the free, anonymous Resume Roaster tool;
- any application programming interfaces (APIs) we publish;
- emails, notifications, and other communications we send;
- and all related features, services, and content we make available
(collectively, the "Service").
By creating an account, clicking a button labeled "Sign Up," "I Agree," "Subscribe," or similar, uploading a resume, or otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.
If you are using the Service on behalf of an entity (employer, organization, or other legal person), you represent that you have authority to bind that entity, and "you" includes that entity.
2. Definitions
- "Account" means a user account registered with the Service.
- "AI Output" means any text, suggestion, score, draft, or content generated by an artificial-intelligence model in response to your inputs.
- "Subscriber" means a User with an active paid subscription.
- "Subscription" means the recurring paid plan described in Section 6.
- "Subscription Fee" means the recurring fee charged for the Subscription.
- "Trial" means any introductory free or discounted period offered to new Subscribers.
- "User Content" means any data, text, file, resume, profile information, preferences, LinkedIn connection list, feedback, or other material you upload, submit, or transmit to the Service.
3. Description of Service
Title Bump is an AI-assisted career-tools platform. The Service includes the following features (which we may add to, modify, or remove from time to time):
- Resume Roaster (free, anonymous): an AI critique of an uploaded resume highlighting formatting, content, and applicant-tracking-system compatibility issues.
- Resume parsing: AI extraction of structured data (work history, titles, employers, dates, skills, education, certifications) from your uploaded resume.
- Job matching: automated daily scans of public job boards and company careers pages, scored against your profile and preferences.
- Tailored resume generation: AI-generated resume rewrites adapted to a specific job description, using only the experience contained in your uploaded resume.
- Cover-letter drafting, interview preparation, and recruiter outreach drafts: AI-generated text based on your profile and a target job.
- Application tracking: tools to save jobs, mark them as applied, and record outcomes (interviews, rejections, offers).
- Optional LinkedIn connection import: if you choose to upload your LinkedIn "Connections.csv" export, the Service surfaces possible warm introductions to companies on your match list. Your connections are not contacted by us.
- Email alerts: transactional emails when there are new matches, billing events, or account changes.

- NOT EMPLOYMENT, LEGAL, FINANCIAL, OR CAREER ADVICE. The Service is a tool that helps you organize a job search and generate draft materials. It does not constitute employment counseling, legal advice, financial advice, or professional career counseling. Consult appropriate licensed professionals for professional advice.
- NOT A RECRUITER OR EMPLOYER. Title Bump is not an employment agency, staffing firm, recruiter, or employer. We do not refer candidates to employers, do not negotiate offers, and do not place candidates into jobs.
- NOT A SUBSTITUTE FOR YOUR JUDGMENT. You are solely responsible for the contents of any resume, cover letter, message, or application you submit to a third party.
- NOT A GUARANTEE OF OUTCOMES. We do not guarantee interviews, offers, salary outcomes, or any specific employment result. The job market is outside our control.
4. Eligibility
4.1 Age Requirement
You must be at least eighteen (18) years of age and of legal capacity to enter into binding contracts under the laws of your jurisdiction to register an Account, subscribe, or otherwise use any feature requiring an Account. The free Resume Roaster is also restricted to users 18 and over.
4.2 Misrepresentation of Age
If you misrepresent your age:
- You are solely responsible for any consequences of that misrepresentation;
- You agree to indemnify Title Bump for any claims, losses, fines, or costs arising from it;
- Your Account may be terminated immediately without refund.
4.3 Geographic Availability
The Service is intended for use only by individuals located in the United States. The Service is not designed, marketed, or intended for use in any other country.
EUROPEAN UNION, EUROPEAN ECONOMIC AREA, AND UNITED KINGDOM USERS: The Service is NOT directed to residents of the European Union, European Economic Area, the United Kingdom, or Switzerland. We do not represent that the Service complies with the General Data Protection Regulation (GDPR), the UK GDPR, the Digital Services Act, or any other EU/UK/EEA legislation. If you are located in any of these regions, do not access or use the Service.
4.4 Sanctions Compliance
You may not access or use the Service if you are:
- located in or ordinarily resident in any country or region subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, the so-called Donetsk People's Republic, and the so-called Luhansk People's Republic), or any other country or region that may be added to U.S. sanctions lists; or
- listed on any U.S. government list of prohibited or restricted parties, including the Specially Designated Nationals list maintained by the Office of Foreign Assets Control (OFAC), the Denied Persons List, the Entity List, or the Unverified List.
You represent and warrant that you are not subject to any of these restrictions.
4.5 Compliance with Local Law
Your access and use of the Service must comply with all applicable laws and regulations in your jurisdiction. You are solely responsible for compliance.
5. Account Registration and Security
5.1 Account Creation
To access most features (other than the anonymous Resume Roaster), you must create an Account by providing a valid email address and password, or by signing in with a supported third-party identity provider (e.g., Google, Apple) where offered. You agree to provide accurate, current, and complete information, and to keep it updated.
5.2 Account Security Responsibilities
You are responsible for:
- maintaining the confidentiality of your Account credentials;
- enabling and using strong, unique passwords;
- enabling multi-factor authentication where offered;
- restricting access to any device on which you remain signed in;
- all activities that occur under your Account, whether or not authorized by you; and
- promptly notifying us at contact@titlebump.com if you suspect unauthorized access, credential compromise, or theft of a device used to access the Service.
5.3 No Account Sharing
You may not share, sell, transfer, or sublicense your Account or credentials. One Account per natural person. We may suspend or terminate Accounts that we reasonably believe are shared, sold, transferred, or used by more than one person.
5.4 Right to Refuse Registration
We may refuse, suspend, or terminate registration at our sole discretion, including for prior violations of these Terms, fraud, abuse, or where required by law.
6. Subscription Plans and Pricing
6.1 Plans
Title Bump currently offers the following plan, which we may change at our discretion:
- Title Bump Subscription: $29.00 USD per month (the price displayed at checkout governs in case of any discrepancy).
The Resume Roaster is free to use as described in Section 9.
6.2 Currency
All prices are stated in U.S. dollars (USD) unless otherwise indicated at checkout. Where applicable, sales tax, value-added tax, goods-and-services tax, or similar taxes will be added based on your billing address.
6.3 Pricing Changes
We may change Subscription pricing at any time. For existing Subscribers, we will give at least thirty (30) days' prior notice by email before any price increase takes effect. Continued use of the Subscription after the new price takes effect constitutes acceptance. If you do not accept the new price, your remedy is to cancel before it takes effect (see Section 8).
6.4 Promotional Pricing and Trials
If we offer a promotional price or a free trial, the terms of that offer (including duration, eligibility, and conversion price) will be clearly disclosed at the point of sign-up. Unless otherwise stated:
- Trials may require a payment method on file;
- At the end of a trial, the Subscription will automatically begin at the standard rate unless you cancel before the trial ends;
- Promotional pricing applies only for the period stated, after which the standard recurring rate applies;
- Trials are limited to one per natural person; we may refuse trials to anyone who has previously had a Trial or Account.
7. Payment, Billing, and Auto-Renewal
7.1 Payment Processor
All payments are processed by Stripe, Inc. ("Stripe"). Your provision of payment-card or other payment-method information to Stripe is subject to Stripe's terms and privacy notice. We do not store or have direct access to your full card number, CVC, or expiration date; we only receive masked metadata (card brand, last four digits, expiration month/year) for display and reconciliation.
7.2 Authorization for Recurring Charges
By subscribing, you expressly authorize Title Bump and Stripe to charge your designated payment method on a recurring basis at the price and interval shown at checkout, until you cancel.
7.3 AUTOMATIC RENEWAL: IMPORTANT
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period (monthly, unless otherwise stated) at the then-current price disclosed to you, unless you cancel at least twenty-four (24) hours before the renewal date.
By subscribing, you expressly affirm that:
- Your Subscription will automatically renew at the price displayed at checkout;
- We are authorized to charge that amount, plus any applicable taxes, to your payment method on each renewal date;
- You may cancel at any time as described in Section 8;
- This auto-renewal authorization continues until you cancel.
7.4 California Annual Renewal Reminder
For Subscribers whose Subscription term is one (1) year or longer, we will send a renewal reminder by email between fifteen (15) and forty-five (45) days before each automatic renewal, as required by California law.
7.5 Post-Enrollment Confirmation
After you sign up, we will send a confirmation email summarizing the material terms (price, billing interval, cancellation method, and a link to these Terms).
7.6 Consent Records
We retain records of your express consent to recurring charges for at least three (3) years.
7.7 Free or Reduced-Price Trials
If your Subscription begins with a free or reduced-price Trial that converts to a paid Subscription, we will clearly disclose at sign-up: the duration of the Trial, the price after the Trial converts, the timing of the first charge, and the cancellation method. We will send a confirmation email at sign-up and, where required by law, a reminder before conversion.
7.8 Billing Disputes
You must notify us in writing at contact@titlebump.com of any billing dispute within sixty (60) days of the charge. Charges not disputed within sixty (60) days are deemed accepted.
8. Cancellation, Refunds, Chargebacks, and Failed Payments
8.1 How to Cancel
You may cancel your Subscription at any time, with or without cause, by:
- using the in-app Account settings (the cancellation flow is at least as easy as signing up);
- emailing contact@titlebump.com from the email address on your Account.
We will not require you to call a live representative or write a postal letter.
8.2 Effect of Cancellation
Cancellation takes effect at the end of the then-current billing period. You retain access to paid features until that time. We will not auto-renew the Subscription after cancellation.
8.3 Refund Policy
All Subscription Fees are non-refundable except where required by law or where we expressly grant a refund in our sole discretion. We do not offer pro-rata refunds for partial billing periods, unused features, or for cancellations made after a renewal date.
If the Service is materially broken in a way that prevents you from using core features, and we cannot fix the issue within a reasonable time after you notify us at contact@titlebump.com, we will work in good faith to resolve the matter, which may include a refund or credit at our discretion.
8.4 Chargebacks
Filing a chargeback or payment-card dispute for a charge that you authorized constitutes a material breach of these Terms. We may, in our sole discretion:
- suspend or terminate your Account immediately;
- decline to provide future services to you;
- refer the matter to collections.
If you have a billing dispute, contact us first at contact@titlebump.com.
8.5 Failed Payments and Grace Period
If a renewal payment fails, we may attempt to charge your payment method again for up to fourteen (14) days. During that grace period, we may restrict access to paid features. If payment is not received within the grace period, the Subscription will be canceled and your Account will be downgraded.
8.6 Proration
We do not currently offer prorated billing for upgrades, downgrades, or mid-cycle changes. Any upgrade or downgrade takes effect at the start of the next billing cycle unless otherwise stated.
8.7 Unauthorized or Accidental Charges
If you believe a charge was unauthorized (e.g., an account compromise) or accidental, contact us at contact@titlebump.com within sixty (60) days. We will investigate in good faith and may, in our sole discretion, issue a refund.
8.8 Currency Conversion
If your payment method is denominated in a currency other than USD, your bank may charge currency-conversion fees. We are not responsible for those fees.
9. The Free Resume Roaster
9.1 Anonymous Use
The Resume Roaster is offered free of charge and does not require an Account. You may upload a resume and receive an AI-generated critique. Use is subject to:
- Section 4 (Eligibility, including 18+ requirement);
- Section 11 (Acceptable Use);
- Section 12 (AI Output Disclaimers);
- the Privacy Policy.
9.2 Usage Limits
We may impose usage limits, rate limits, or other restrictions on the Resume Roaster to prevent abuse. We may change these limits at any time without notice.
9.3 No Warranty
The Resume Roaster is provided "as is" and "as available." We make no representation that it will be available, accurate, or complete.
9.4 Lead Capture
If you provide your email address through the Resume Roaster (e.g., to receive your results by email), we may use that email to send you transactional and follow-up communications about the Service consistent with our Privacy Policy. You can unsubscribe at any time.
10. User Content
10.1 What is User Content
"User Content" includes everything you upload, submit, or input to the Service, including:
- resume files and the structured data extracted from them;
- profile information (titles, location, preferences, skills);
- LinkedIn Connections.csv files (if you choose to upload one);
- saved jobs, application tracking entries, outcome data;
- feedback, support requests, and survey responses;
- text you provide as inputs to AI features.
10.2 Ownership
You retain ownership of your User Content as between you and Title Bump.
10.3 License Grant to Title Bump
You grant Title Bump and our subprocessors a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, copy, display, modify, and process User Content solely to:
- provide, maintain, secure, and improve the Service for you;
- transmit User Content to the third-party processors listed in our Privacy Policy as necessary to deliver the Service (e.g., AI processing, email delivery, payment processing);
- create de-identified, aggregated statistics about Service usage;
- enforce these Terms and comply with law.
This license terminates within thirty (30) days after you delete the relevant User Content or your Account, except for the limited retention exceptions in Section 20.4 and the Privacy Policy.
10.4 Your Representations About User Content
You represent and warrant that:
- you own or have all necessary rights to the User Content you submit;
- the User Content does not violate any third party's intellectual-property, privacy, publicity, or other rights;
- you will not upload resumes, LinkedIn connections, or other personal data of any other person without that person's explicit, informed, and documented consent;
- the User Content does not violate any law, contract, or these Terms.
10.5 No Obligation to Store
We are not obligated to store, back up, or preserve User Content beyond what we deem operationally necessary. You should keep your own backup of any User Content important to you. We are not liable for loss of User Content.
10.6 Removal Rights
We may remove, refuse, or restrict User Content at our discretion if we believe it violates these Terms or applicable law, or is harmful, abusive, or otherwise objectionable.
10.7 Feedback
If you submit feedback, suggestions, ideas, or proposed improvements, you grant Title Bump a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use that feedback for any purpose without obligation or compensation to you.
11. Acceptable Use and Prohibited Conduct
You agree NOT to use the Service to do any of the following, and not to permit any third party to do them on your behalf:
11.1 Misrepresentation
- Misrepresent qualifications, experience, employment history, education, certifications, or credentials in any AI-generated content you submit to a third party;
- Submit a false identity, impersonate another person, or claim to represent an organization you do not represent;
- Misrepresent your age or country of residence.
11.2 Infringement
- Infringe any patent, trademark, trade secret, copyright, right of publicity, or other intellectual-property right;
- Upload User Content (including resumes, connection lists, or photos) belonging to anyone other than yourself without explicit consent;
- Post, transmit, or otherwise make available any content you do not have a right to share.
11.3 Abuse
- Scrape, crawl, copy, or otherwise extract data from the Service except as expressly permitted by the Service's user interface for your personal use;
- Use the AI Output to train, fine-tune, evaluate, or build any other artificial-intelligence model or competing product;
- Resell, sublicense, white-label, or commercially redistribute the Service or AI Output;
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service.
11.4 Interference
- Interfere with or disrupt the Service, the servers or networks providing it, or the experience of other users;
- Send automated requests, exploit rate limits, deploy bots, or attempt denial-of-service attacks;
- Probe, scan, or test the vulnerability of the Service except through a published responsible-disclosure channel;
- Bypass, circumvent, or attempt to circumvent any access control, usage limit, rate limit, or technical restriction.
11.5 Unlawful or Harmful Conduct
- Use the Service for any unlawful purpose or to facilitate any unlawful activity;
- Harass, threaten, defame, stalk, or harm any person;
- Transmit malware, spyware, viruses, ransomware, or other malicious code;
- Use the Service to send unsolicited commercial messages, spam, or unsolicited recruiting messages.
11.6 Account Multiplicity and Trial Abuse
- Create multiple Accounts to abuse trial offers, free quotas, rate limits, or referral programs;
- Use false email addresses or identities to obtain extra Trials or promotional pricing.
11.7 Reporting Violations
If you become aware of conduct that violates this Section, please report it to contact@titlebump.com.
12. AI-Generated Output and Feature Disclaimers
12.1 What AI Output Is
A large portion of the Service uses artificial-intelligence models (currently provided by Anthropic PBC ("Anthropic Claude") and OpenAI, L.L.C. ("OpenAI")) to generate AI Output, including resume rewrites, cover-letter drafts, interview prep, recruiter-outreach drafts, match scores, career-research summaries, and resume critiques.
12.2 AI Output Is Not From a Human
AI OUTPUT IS GENERATED BY ARTIFICIAL-INTELLIGENCE SYSTEMS, NOT BY HUMAN REVIEWERS. Title Bump employees do not draft, review, or approve AI Output before it is shown to you.
12.3 AI Output May Be Inaccurate
AI Output may contain errors, fabrications ("hallucinations"), out-of-date information, omissions, biased recommendations, or content that is wrong for your situation. AI Output may misrepresent your experience or skills if your input contains errors or ambiguity. You must independently review and verify all AI Output before relying on it or transmitting it to any third party (including potential employers).
12.4 AI Output Is Not Professional Advice
AI Output is NOT and is not a substitute for:
- legal advice;
- employment counseling, career counseling, or recruitment services;
- financial, tax, accounting, or investment advice;
- medical, mental-health, or any other professional advice.
If you need professional advice, consult an appropriately licensed professional in your jurisdiction.
12.5 AI Output Is Not a Binding Commitment
AI Output (including match scores, salary estimates, ghost-job flags, and "fit" recommendations) does not constitute an offer, promise, guarantee, or binding commitment by Title Bump. Match scores are best-effort estimates based on incomplete public information.
12.6 No Guarantee of Outcomes
We do not guarantee that using the Service will lead to any interview, offer, job, salary level, promotion, or other employment outcome.
12.7 Ghost-Job Flags
We attempt to flag job postings we suspect are not actively hiring ("ghost jobs"). These flags are heuristic, best-effort, and frequently wrong. We make no representation about the truthfulness of any third-party job posting.
12.8 Sensitive Information Warning
Do not include in any AI input information you do not want transmitted to our AI providers. In particular, do not include:
- Social Security numbers, driver's-license numbers, passport numbers, or other government identifiers (beyond what appears in your resume);
- Financial-account numbers, full payment-card numbers, or banking credentials;
- Medical-record numbers, protected health information, or HIPAA-protected data;
- Login credentials for any account;
- Information subject to attorney-client, doctor-patient, or other privilege.
If you do include such information, you do so at your own risk.
12.8A Emergency Situations
THE SERVICE IS NOT FOR EMERGENCIES. Do not use the Service to seek help in any emergency or life-threatening situation. If you are in a mental-health crisis, call or text 988 (the 988 Suicide & Crisis Lifeline). For other emergencies, call 911 or your local emergency number.
12.9 AI Provider Terms
You acknowledge that AI Output is generated by third-party providers under their respective terms. Anthropic and OpenAI's commercial-API terms state that they do not train models on customer API data; however, we are not the provider of these models and disclaim all warranties about them.
12.10 Ownership of AI Output
As between you and Title Bump, you may use AI Output produced for your Account for personal, non-commercial purposes (or, if you are on a business plan, for the employees covered by that plan) consistent with these Terms. You acknowledge that, under current U.S. copyright law, content generated solely by an artificial-intelligence system without sufficient human authorship may not be eligible for copyright protection.
12.11 Distracted Use
DO NOT USE TITLE BUMP WHILE OPERATING A MOTOR VEHICLE OR HEAVY MACHINERY OR DOING ANY OTHER ACTIVITY THAT REQUIRES YOUR FULL ATTENTION.
13. Intellectual Property
13.1 Our Property
The Service, including the Title Bump name, logos, branding, user interface, design, code, databases, compilations of data (including the title-equivalence dictionary, employer seed list, and adapter library), prompts, scoring logic, and all related intellectual property (collectively, "Title Bump IP"), is owned by Title Bump or its licensors and is protected by U.S. and international intellectual-property laws.
13.2 Limited License to You
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial job search consistent with these Terms.
13.3 No Other Rights
No license or right is granted other than those expressly granted in these Terms. You may not remove or obscure any copyright, trademark, patent, or other notice on the Service.
13.4 Trademarks
"Title Bump" and our logos are trademarks of Title Bump. Other names, logos, and trademarks shown on the Service belong to their respective owners.
14. Third-Party Services
14.1 Subprocessors and Integrations
The Service integrates with and depends on the following third-party services. Use of the Service requires transmission of data to these services under their respective terms:
- Authentication and Database: Supabase, Inc.
- Hosting and Edge Delivery: Vercel, Inc.
- Payment Processing: Stripe, Inc.
- AI Models: Anthropic PBC (Claude); OpenAI, L.L.C. (GPT and embeddings)
- Email Delivery: Resend, Inc.
- Background Jobs and Scheduling: Inngest, Inc.
- Web Rendering / Proxy: FireCrawl
- Job Aggregation API: Adzuna Ltd.
- Public Job Boards: LinkedIn (public job-search pages), Greenhouse, Lever, Ashby, Workday, RemoteOK, WeWorkRemotely, and similar public endpoints from which we retrieve job postings.
- Error Monitoring (optional, when enabled): Sentry.
We may add, remove, or change subprocessors at our discretion. Our Privacy Policy contains a current list with their roles and locations.
14.2 Third-Party Terms
Your use of any third-party service through the Service is subject to that third party's own terms and privacy policies. We are not responsible for those terms or for the third party's practices.
14.3 Third-Party Failures
WE ARE NOT LIABLE FOR ANY ACT, OMISSION, FAILURE, DEFECT, OR DOWNTIME OF ANY THIRD-PARTY SERVICE, INCLUDING ANY OUTAGE OR DEGRADATION OF THE AI PROVIDERS, PAYMENT PROCESSOR, EMAIL PROVIDER, HOSTING PROVIDER, OR JOB BOARDS WE INTEGRATE WITH. YOUR ONLY RECOURSE FOR ANY SUCH FAILURE IS DIRECTLY AGAINST THE THIRD-PARTY PROVIDER.
14.4 Job-Posting Accuracy
Job postings displayed in the Service are retrieved from public sources. We do not author, verify, or endorse them. We are not responsible for inaccuracies, omissions, expired postings, fraudulent postings, or postings that misrepresent the role or employer.
14.5 Apply-Out Links
When you click "Apply" on a match, you are sent to the employer's site or applicant-tracking system. Your interaction with that site is solely between you and the employer.
14.6 Third-Party Beneficiaries
There are no intended third-party beneficiaries of these Terms.
15. Service Continuity and Modifications
15.1 No Perpetual Service Guarantee
We may add, modify, suspend, or discontinue the Service or any feature at any time, with or without notice. We will provide reasonable advance notice to Subscribers of material reductions in functionality that substantially impair the paid Subscription.
15.2 Beta Features
Some features may be labeled "beta," "preview," "alpha," or similar. Beta features are provided "as is," may be unstable, may be removed at any time, and are excluded from any service-level commitments. You acknowledge that your use of beta features is at your own risk.
15.3 Acquisition or Asset Sale
If Title Bump is acquired, merged, financed, or sells substantially all assets, your Account, User Content, and these Terms may be transferred to the successor or acquirer, who will be bound by the Privacy Policy in effect at the time. We will notify you of any such change of control by email or in-app notice.
15.4 Bankruptcy or Insolvency
In the event of insolvency, receivership, or bankruptcy, your Account and User Content may be transferred as a business asset, sold to a third party, or terminated. We will provide notice where practicable and as required by law.
15.5 Data Loss
WE ARE NOT LIABLE FOR LOSS, CORRUPTION, OR DELETION OF USER CONTENT, INCLUDING LOSS RESULTING FROM SERVICE DISCONTINUATION OR DEFECT. You should keep your own backups of important data.
16. Disclaimers and Limitation of Liability
16.1 Service "AS IS"
THE SERVICE, INCLUDING ALL AI OUTPUT, MATCH SCORES, JOB DATA, AND OTHER CONTENT, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TITLE BUMP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING:
- ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR QUIET ENJOYMENT;
- ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE;
- ANY WARRANTY OF ACCURACY, COMPLETENESS, OR RELIABILITY OF AI OUTPUT, MATCH SCORES, JOB POSTINGS, OR ANY OTHER CONTENT;
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF VIRUSES OR HARMFUL CODE, COMPATIBLE WITH YOUR DEVICE, OR MEET YOUR REQUIREMENTS.
16.2 No Outcome Warranty
WE MAKE NO WARRANTY OR REPRESENTATION THAT YOUR USE OF THE SERVICE WILL LEAD TO ANY INTERVIEW, JOB OFFER, EMPLOYMENT, SALARY, PROMOTION, OR OTHER OUTCOME. THE JOB MARKET IS OUTSIDE OUR CONTROL.
16.3 Assumption of Risk
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ASSUME ALL RISK ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE, INCLUDING THE RISK THAT AI OUTPUT MAY BE INACCURATE OR HARMFUL TO YOUR JOB SEARCH.
16.4 Limitation of Liability: Damage Types
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TITLE BUMP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, REPUTATION, USE, DATA, EMPLOYMENT OPPORTUNITY, JOB OFFER, SALARY, OR WAGES;
- COST OF SUBSTITUTE SERVICES;
- EMOTIONAL DISTRESS OR MENTAL ANGUISH;
- PERSONAL INJURY, WRONGFUL DEATH, OR PROPERTY DAMAGE;
ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, AI OUTPUT, OR ANY ACT OR OMISSION OF TITLE BUMP, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE) AND EVEN IF TITLE BUMP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
16.5 Liability Cap
IN ALL CASES, TITLE BUMP'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO TITLE BUMP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
16.6 Statute of Limitations
ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUED, OR IT IS PERMANENTLY BARRED. THIS PROVISION SHORTENS ANY LONGER LIMITATIONS PERIOD THAT WOULD OTHERWISE APPLY UNDER LAW.
16.7 Essential Purpose
THE LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS IN THIS SECTION 16 ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN AND APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
16.8 Jurisdictional Variations
Some U.S. states do not allow the exclusion of certain warranties or the limitation of certain damages. In those states, the exclusions and limitations above apply to the maximum extent permitted by law.
17. Release of Claims
17.1 Release
YOU RELEASE, WAIVE, AND DISCHARGE TITLE BUMP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS FROM ANY AND ALL CLAIMS, DEMANDS, LOSSES, DAMAGES, RIGHTS, AND CAUSES OF ACTION OF EVERY KIND OR NATURE, KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, AI OUTPUT, OR ANY DECISION OR ACTION YOU TOOK BASED ON THE SERVICE.
17.2 California Civil Code Section 1542 Waiver
IF YOU ARE A CALIFORNIA RESIDENT, YOU EXPRESSLY WAIVE THE PROTECTION OF CALIFORNIA CIVIL CODE SECTION 1542, WHICH READS:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
You acknowledge you have read and understand this waiver.
17.3 Equivalent Waivers
You waive any similar provision under any other state, federal, or foreign law that would otherwise preserve unknown claims.
17.4 California Consumer Protection Acknowledgments
You acknowledge that the limitations, releases, and arbitration provisions in these Terms apply to claims under (a) California Business & Professions Code §§ 17200 et seq. (the Unfair Competition Law) and (b) California Civil Code §§ 1750 et seq. (the Consumer Legal Remedies Act), to the maximum extent permitted by law.
18. Dispute Resolution, Arbitration, Class-Action Waiver, Jury-Trial Waiver
THIS SECTION REQUIRES YOU TO ARBITRATE DISPUTES INDIVIDUALLY AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. PLEASE READ CAREFULLY. SECTION 18.6 EXPLAINS HOW TO OPT OUT.
18.1 Informal Resolution
Before initiating any arbitration or court proceeding, you and Title Bump agree to first try to resolve the dispute informally. You must send a written notice describing the dispute and the relief sought to contact@titlebump.com. We will respond within thirty (30) days. If we cannot resolve the dispute within sixty (60) days after notice, either party may initiate arbitration.
18.2 Binding Individual Arbitration
Except as set out in Section 18.5, all disputes, claims, or controversies arising out of or relating to these Terms or the Service ("Disputes") will be resolved exclusively by binding, individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (the "JAMS Rules") and conducted by a single neutral arbitrator. The JAMS Rules are available at jamsadr.com.
- Location. Arbitration will be conducted by telephone or videoconference, or in Wilmington, Delaware, at the parties' election.
- Filing fees and costs. Each party will bear its own attorneys' fees and costs unless the arbitrator awards otherwise. Filing fees and arbitrator fees will be allocated according to the JAMS Rules.
- Arbitrator authority. The arbitrator may award any relief that a court could award, except that the arbitrator may not award relief beyond what is necessary to provide individual relief to the claimant. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.
- Confidentiality. The arbitration proceedings and award will be kept confidential to the extent permitted by law.
18.3 Class-Action Waiver
YOU AND TITLE BUMP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding. If a court determines that this Section 18.3 is unenforceable in any respect, then the entirety of Section 18 (other than this Section 18.3) will be deemed null and void, and the parties' Disputes will proceed in court subject to Section 18.7.
18.4 Jury-Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND TITLE BUMP EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE.
18.5 Exceptions to Arbitration
The following are excluded from Section 18.2:
(a) Either party may bring an individual action in small-claims court for any Dispute that qualifies, so long as the action remains in small-claims court and is not removed or appealed to a court of general jurisdiction; (b) Either party may seek temporary or preliminary injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property rights pending arbitration; (c) Disputes that cannot be subject to a pre-dispute arbitration agreement under federal law (such as certain claims under the Servicemembers Civil Relief Act or the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act) are excluded.
18.6 30-Day Right to Opt Out of Arbitration
You may opt out of Section 18 (Arbitration, Class-Action Waiver, Jury-Trial Waiver) by sending a written opt-out notice to contact@titlebump.com within thirty (30) days of the date you first accept these Terms. The notice must include your full legal name, the email address used to register your Account, the date you accepted these Terms, and a clear statement that you wish to opt out of arbitration. Opting out has no effect on any other provision of these Terms. If you opt out, Disputes will proceed in court under Section 18.7.
18.7 Court Disputes (If Arbitration Does Not Apply)
For any Dispute not subject to Section 18.2 (including small-claims and injunctive-relief actions, Disputes by a party who has opted out under Section 18.6, and Disputes where a court has invalidated arbitration), you and Title Bump consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware, USA, and waive any objection to that jurisdiction or venue.
18.8 PAGA Waiver (California)
To the maximum extent permitted by law, you waive any right to assert representative claims under the California Private Attorneys General Act of 2004 (Cal. Lab. Code § 2698 et seq.) ("PAGA") on behalf of the State of California or other employees. If a court determines this PAGA waiver is unenforceable in whole or part, any PAGA claim will be severed from arbitration and stayed until the conclusion of arbitration of all individual claims.
18.9 Survival
This Section 18 survives termination of these Terms.
19. Indemnification
You agree to indemnify, defend, and hold harmless Title Bump, its affiliates, and its and their officers, directors, employees, agents, licensors, and suppliers from and against any claims, demands, losses, liabilities, damages, judgments, fines, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- your access to or use of the Service;
- your User Content;
- your breach of these Terms or any representation or warranty herein;
- your violation of any law or regulation;
- your violation of any third party's rights, including intellectual-property, privacy, or publicity rights;
- your submission of AI Output or any other Service output to any third party (including any employer);
- any Account compromise, sharing, or unauthorized access caused by your failure to maintain account security.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense.
20. Suspension and Termination
20.1 Termination by You
You may stop using the Service and delete your Account at any time by following the in-app deletion flow or emailing contact@titlebump.com.
20.2 Suspension or Termination by Us
We may suspend or terminate your Account or access to the Service, in whole or in part, with or without notice, if:
- you breach these Terms;
- we suspect fraud, abuse, scraping, harassment, security risk, or unlawful activity on or through your Account;
- a payment fails and is not cured within the grace period (Section 8.5);
- a chargeback is filed for a charge you authorized (Section 8.4);
- we are required to do so by law, court order, or governmental request;
- continued provision is not commercially reasonable;
- the Account is dormant under Section 21.4.
20.3 Material Breach and Cure
For non-emergency breaches, we will, where commercially reasonable, give you written notice of the breach and an opportunity to cure within ten (10) business days before terminating. We may suspend or terminate immediately, without a cure period, for any breach that we reasonably believe creates risk of imminent harm, security risk, fraud, or legal liability.
20.4 Effect of Termination
Upon termination:
- Your right to access the Service ends immediately;
- We will delete or anonymize your User Content within thirty (30) days, except for data we are required by law to retain (e.g., tax records for up to seven (7) years), data reasonably needed to resolve disputes, enforce our Terms, prevent fraud, or for de-identified aggregate analytics.
- All amounts you owe become immediately due.
- Sections 10.7 (Feedback), 13 (IP), 14.3 (Third-Party Failures), 15 (Service Continuity), 16 (Disclaimers and Liability Limits), 17 (Release), 18 (Arbitration), 19 (Indemnification), 20.4 (Effect), 22 (Deceased Users), 27 (Governing Law), 30 (General Provisions), and any other provision that by its nature should survive, will survive termination.
21. Account Security, Compromise, and Dormancy
21.1 Compromised Accounts
If you suspect your Account has been accessed without authorization (e.g., a password leak, phishing attack, lost or stolen device), you must:
- immediately reset your password through the Service;
- immediately notify us at contact@titlebump.com;
- review recent Account activity for unauthorized changes.
We will not be responsible for losses resulting from unauthorized use of your Account that occurred before you notified us.
21.2 Phishing Warning
We will never ask you for your password by email, phone, text message, or any other channel. Any such request is fraudulent. Report it to contact@titlebump.com.
21.3 Multi-Factor Authentication
Where multi-factor authentication (MFA) is offered, we strongly recommend you enable it.
21.4 Dormant Accounts
We may treat an Account as "dormant" if there has been no User-initiated sign-in for twenty-four (24) consecutive months. Dormant Accounts may be deleted upon thirty (30) days' email notice to the address on file. We are not responsible for loss of access or User Content for dormant Accounts.
21.5 Lost or Stolen Devices
If a device on which you remain signed in is lost or stolen, you should immediately reset your password and revoke active sessions in the Service. You are responsible for all activity occurring under your Account before you complete those steps.
22. Deceased Users, Estates, and Lawful Access Requests
22.1 Deceased-User Requests
We provide a limited process for the lawful representative of a deceased User to request access to or deletion of the deceased User's data. The representative must email contact@titlebump.com and provide:
- a certified copy of the death certificate;
- documentation of the representative's authority (e.g., letters testamentary, court order, valid power of attorney that survives death);
- a copy of government-issued identification of the representative.
We may decline requests we cannot reasonably verify or that conflict with the deceased User's privacy interests. We do not generally release passwords or original User Content; we may, in our discretion, provide an export of certain non-sensitive Account data or delete the Account.
22.2 Lawful Government Requests
We respond to lawful subpoenas, court orders, search warrants, and similar legal requests from governmental authorities under applicable law. Where permitted by law, we may notify you of such requests before disclosure. We may decline overbroad or improperly served requests.
22.3 Civil Subpoenas
We respond to civil subpoenas and litigation discovery requests under applicable rules. The party serving the request is responsible for our reasonable costs of compliance to the extent allowed by law.
23. Domestic Abuse and Safety Requests
If you are in a situation where access to your Account, your data, or your devices may be controlled, monitored, or threatened by another person, contact us at contact@titlebump.com or contact@titlebump.com from a device the other person does not have access to. We will work in good faith to assist with account security, data export, deletion, or other reasonable safety measures, subject to verification of identity.
If you are in immediate danger, contact local emergency services (911) or the National Domestic Violence Hotline at 1-800-799-7233 (call or text "START" to 88788).
24. DMCA and Copyright Infringement
If you believe that content available on the Service infringes your copyright, you may submit a DMCA takedown notice to contact@titlebump.com. The notice must include:
- a physical or electronic signature of the copyright owner or authorized agent;
- identification of the copyrighted work claimed to be infringed;
- identification of the material claimed to be infringing and information sufficient to locate it (URL or equivalent);
- your contact information (name, address, email, phone);
- a statement that you have a good-faith belief that the use is not authorized;
- a statement, under penalty of perjury, that the information in the notice is accurate and you are authorized to act on the copyright owner's behalf.
We may remove or disable allegedly infringing content and may terminate the Accounts of repeat infringers. Submitting a knowingly false notice may subject you to liability under 17 U.S.C. § 512(f).
25. Electronic Communications Consent
You consent to receive communications from Title Bump electronically, including by email and in-app notice, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. You may withdraw consent for marketing emails at any time by following the unsubscribe link; transactional emails (account, billing, security, legal notices) are required to operate the Service and cannot be opted out of while you have an active Account.
We do not currently send SMS messages. If we add SMS in the future, we will obtain separate prior express consent as required by the Telephone Consumer Protection Act ("TCPA") and applicable state laws.
26. Notices
We may give you notice by email to the address on file, by in-app notice, or by posting on the Service. You must give us notice as specified in the relevant section (e.g., contact@titlebump.com for legal notices, contact@titlebump.com for billing).
27. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
For Disputes not subject to arbitration under Section 18, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware (Section 18.7).
28. International Users and Sanctions
The Service is controlled and operated from the United States. You are responsible for compliance with all applicable local laws. You may not use, export, or re-export the Service in violation of U.S. export laws or regulations or any other applicable law. Section 4.4 (Sanctions Compliance) governs sanctions-related restrictions.
29. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent version. If we make material changes, we will notify you by email to the address on file or by in-app notice at least fourteen (14) days before the changes take effect.
Your continued use of the Service after the effective date of the changes constitutes acceptance. If you do not agree to the changes, your remedy is to cancel any paid Subscription and stop using the Service before the effective date.
We will not retroactively apply changes to Disputes that arose before the effective date.
30. General Provisions
30.1 Entire Agreement
These Terms (together with the Privacy Policy and any additional terms we link to or that you accept at sign-up) constitute the entire agreement between you and Title Bump regarding the Service and supersede all prior or contemporaneous oral or written agreements.
30.2 Severability
If any provision of these Terms is held invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Section 18.3 (Class-Action Waiver) is governed by its own severability rule in Section 18.3.
30.3 Waiver
No waiver of any term will be deemed a further or continuing waiver of that term or any other term. Our failure to assert any right or provision is not a waiver of that right or provision.
30.4 Assignment
You may not assign or transfer these Terms or any of your rights or obligations without our prior written consent; any purported assignment in violation of this is void. We may assign these Terms or any of our rights at any time without your consent, including in connection with a merger, acquisition, financing, reorganization, or sale of assets. These Terms bind and benefit each party and its permitted successors and assigns.
30.5 Force Majeure
Neither party is liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecom outages, hosting or AI-provider outages, pandemics, government orders, or similar events.
30.6 Independent Contractors
The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship.
30.7 No Third-Party Beneficiaries
Except as expressly stated, these Terms do not create third-party beneficiary rights.
30.8 Headings
Section headings are for convenience only and do not affect interpretation.
30.9 Survival
Provisions that by their nature should survive termination or expiration of these Terms will survive, including Sections 10.7, 13, 14.3, 15, 16, 17, 18, 19, 20.4, 22, 27, and 30.
30.10 Construction
These Terms have been drafted by both parties for purposes of construction; any rule of construction that would resolve ambiguities against the drafting party does not apply.
30.11 Notices to Title Bump
Legal notices must be sent in writing to contact@titlebump.com.
31. Acknowledgment and Acceptance
BY USING TITLE BUMP, YOU ACKNOWLEDGE AND AGREE THAT:
- You have read, understood, and agree to be bound by these Terms.
- The Service is not a substitute for professional legal, financial, employment, medical, or other professional advice.
- You assume responsibility for all decisions made using the Service or AI Output.
- You accept the limitations of liability, the release of claims, the arbitration agreement, the class-action waiver, the representative-action waiver, the jury-trial waiver, and the one-year statute of limitations.
- You had a meaningful opportunity to review these Terms and to consult with legal counsel of your choosing before accepting them.
- You may opt out of the arbitration provision under Section 18.6 within 30 days of first accepting these Terms.
